0. Identification of the Legal Entity

These Terms and Conditions govern the use of the website ELYPT (www.elypt.io), owned by CAMPOS SOLUTIONS, UNIPESSOAL LDA, headquartered in Lisbon, Portugal, and duly registered in Portugal.

ELYPT is a commercial designation of CAMPOS SOLUTIONS, UNIPESSOAL LDA.

1. Agreement to Terms

These Terms and Conditions, together with any applicable Service Agreement, constitute a legally binding agreement between the Client (as identified in the Service Agreement) and CAMPOS SOLUTIONS, UNIPESSOAL LDA ("ELYPT").

By accessing the Website or using any of our AI services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions.

We may modify these Terms at any time. Any changes will be effective upon posting to the Website. Continued use of the site following such updates constitutes your acceptance of the revised Terms.

2. Client Access and Data Ownership

ELYPT grants the Client a non-exclusive, non-transferable right to access and use the services during the subscription term, limited to internal business use by authorized users.

All Client data uploaded or generated remains the property of the Client.

AI models may retain non-identifiable learnings from interactions to improve general service performance.

No identifiable client data will be stored or used for other purposes.

3. Intellectual Property

All intellectual property related to ELYPT’s platform — including software, source code, user interface, brand assets, and designs — remains the sole property of CAMPOS SOLUTIONS, UNIPESSOAL LDA.

Clients may not copy, modify, distribute, reverse-engineer, or attempt to derive the source code from the platform.

4. Client Responsibilities and Warranties

Clients agree to:

Provide accurate and up-to-date registration and business information.

Use the Website and services only for lawful purposes.

Not use bots, scrapers, or other automated means unless explicitly authorized by ELYPT.

Not exploit or interfere with system operations.

Ensure they have obtained user consent for any AI-driven communication, in compliance with GDPR and ePrivacy regulations.

5. Privacy and Data Protection

ELYPT complies with the General Data Protection Regulation (GDPR).

We process Client data solely for service delivery.

Reasonable administrative, technical, and physical measures are implemented to protect Client data.

6. Confidentiality

Both parties agree to maintain confidentiality regarding all business, operational, and technical information shared during the agreement, except:

When disclosure is required by law.

When explicitly authorized in writing by the disclosing party.

7. Termination and Cancellation

Either party may terminate the agreement with prior written notice.

Upon termination, the Client will be charged for services rendered up to the termination date.

8. Service Fees

Standard pricing includes:

A one-time setup and implementation fee.

A performance-based commission on sales generated by the AI agent (percentage defined in the final Service Agreement).

Any trial access granted is free of charge and non-binding.

9. Jurisdiction and Dispute Resolution

These Terms are governed by Portuguese law.

Any disputes shall be resolved under the jurisdiction of the courts of Lisbon, Portugal.

Before legal action, both parties agree to attempt amicable resolution.

10. Miscellaneous

These Terms represent the entire agreement between the parties.

If any provision is deemed invalid or unenforceable under applicable law, the remaining provisions will remain in full force and effect.
